Terms of Service

These Terms govern your access to and use of Thulo’s websites, applications, and services. By using Thulo, you agree to these Terms.

2 Scope of Services

Thulo provides business software and related services that may include website/backoffice tools, ecommerce, CRM, marketing (SMS/email campaigns), sales, operations, customer service, human resource, administration, reporting, and other tools made available from time to time.

The Services may be delivered through:

  • thulo.com.np and related domains/subdomains including business.thulo.com, app.thulo.com, and other Thulo-owned subdomains
  • Customer-access paths such as yourdomain.com/backoffice
3 Definitions
  • Customer: A business or organization subscribing to Thulo.
  • User: Any person who accesses or uses the Services.
  • Account Owner/Admin: The person authorized to manage a Customer account.
  • Customer Data: Data submitted, stored, sent, or processed through the Services by or on behalf of a Customer.
  • Plan: The subscription tier and related limits/fees.
  • Third-Party Fees: Charges from third parties (payment gateways, SMS/email providers, telecom, etc.).
4 Eligibility and Account Registration

You must provide accurate information when creating an account and keep it updated.

You are responsible for all activity under your account and must keep credentials confidential.

5 Account Roles and Permissions

The Account Owner/Admin controls who can access the account and what permissions they have.

Customers are responsible for managing access when staff join/leave.

6 Acceptable Use

You agree not to use Thulo to:

  • Break laws or regulations
  • Send unlawful/abusive/deceptive/harassing content
  • Send spam or unsolicited bulk messages without required consent
  • Upload malware or attempt unauthorized access
  • Disrupt the Services or bypass plan restrictions
  • Infringe intellectual property rights
  • Violate privacy requirements, consents, or opt-outs

Thulo may suspend or terminate access if your use violates these Terms or creates risk to users, Thulo, or third parties.

7 Trial, Training, and Support
7.1 7-Day Trial
Thulo offers a 7-day trial for eligible accounts/plans as displayed during signup. Eligibility, limitations, and included features may vary.
7.2 One-on-One Training
Thulo provides one-on-one training (where applicable) to help Customers understand and use the Services effectively.
7.3 Implementation Support
Thulo aims to provide support whenever required for effective implementation. Support channels and response times may vary by plan, request type, business hours, and operational capacity.
8 Customer Data, Privacy, and Compliance

Customers are responsible for the legality of Customer Data and how they use the Services, including obtaining consent for SMS/email marketing where required.

If you use campaign tools, you must:

  • Contact only audiences you are authorized to contact
  • Honor opt-outs/unsubscribes
  • Comply with telecom/email rules and applicable laws
9 Domains and Website/Ecommerce Use

Customers may connect domains/subdomains and are responsible for having rights to use those domains.

Customers control and are responsible for the accuracy and legality of website and ecommerce content.

10 Fees, Billing, and Payments

Subscription fees and any usage-based charges are defined by the selected Plan and may be updated from time to time.

If payment is not received when due, Thulo may suspend or restrict Services until payment is made.

11 No Refund Policy (Including Third-Party Fees)

Unless required by applicable law, payments made to Thulo are non-refundable, including subscription fees, usage-based charges, SMS/email charges, and any partially used subscription period.

Third-Party Fees are strictly non-refundable
This includes charges by payment gateways, telecom/SMS providers, email delivery providers, domain providers, or any external service used to deliver part of the Services.

Customers are encouraged to review plan details and use the 7-day trial (where eligible) before purchasing.

13 Service Availability (Uptime)

Thulo targets 99.9% uptime based on our current operational understanding. However, the Services may occasionally be unavailable due to maintenance, emergency fixes, third-party provider outages, or events beyond Thulo’s reasonable control.

Downtime does not automatically result in refunds, especially where third-party services are involved.

14 Data Retention After Termination

After account closure/termination:

  • Tenants may be terminated within 30 days
  • Backup data may be retained for up to 36 months

Customers are responsible for exporting data they need prior to termination.

15 Intellectual Property

Thulo owns the Services, software, and branding.

Customers retain ownership of Customer Data and content they upload, while granting Thulo rights necessary to host, process, and display it to provide the Services.

If you provide feedback, Thulo may use it without obligation.

16 Content and Takedown

If Thulo receives a complaint or notice that content hosted via the Services is unlawful or infringes rights, Thulo may remove or restrict access to the content and/or suspend accounts involved.

17 Security Responsibilities
  • Use strong passwords and protect credentials
  • Keep devices secure
  • Report suspected unauthorized access

Thulo may require certain actions (e.g., password reset) to protect accounts and Services.

18 Disclaimers

The Services are provided on an “as is” and “as available” basis. Thulo disclaims all warranties to the maximum extent permitted by law.

Thulo does not guarantee message delivery for SMS/email tools because delivery depends on providers and networks.

20 Limitation of Liability

To the maximum extent permitted by law, Thulo will not be liable for indirect, incidental, special, consequential, or punitive damages.

Thulo’s total liability for claims relating to the Services will not exceed 25% of the amount paid by the Customer to Thulo.

21 Indemnification

Customers agree to indemnify and hold Thulo harmless from claims, damages, liabilities, and expenses arising from Customer Data, Customer’s use of the Services, Customer’s violation of these Terms, or unlawful marketing/privacy violations by the Customer.

22 Changes to the Services and Terms

Thulo may update features or modify these Terms from time to time. We will update the “Last Updated” date. Continued use after changes means you accept the updated Terms.

23 Governing Law and Disputes

These Terms are governed by the laws of Nepal.

Disputes will be resolved in the competent courts of Nepal, unless otherwise required by applicable law.
